Den Haag — 13 October 2026

State Secretary upholds prohibition on Kyndryl’s proposed acquisition of Solvinity

Kyndryl said on 13 October that the Netherlands’ State Secretary for Digital Economy and Sovereignty has maintained the legal prohibition on Kyndryl’s proposed purchase of Dutch managed‑cloud provider Solvinity. The company released a rectified statement noting that an earlier message incorrectly referred to the Minister of Economic Affairs and Climate instead of the State Secretary.

According to Kyndryl, the firm spent the past year defending the transaction in discussions with government officials and customers, highlighting the innovation, security and modernization capabilities it says it would have brought to Solvinity’s public‑sector clients. After a second, detailed review by the State Secretary, however, the takeover remains legally barred and cannot be completed.

Kyndryl expressed disappointment at the outcome but said it accepts the decision and will continue to support its customers across the Netherlands in operating business‑critical systems at scale. The company also urged Solvinity and its shareholders to acknowledge the government’s completed review process and to focus on preserving stability and continuity for Solvinity’s customers, staff and operations.

What’s next

  • Kyndryl has indicated it will respect the ban and move forward in supporting clients.
  • The company has called on Solvinity and its shareholders to accept the decision and prioritize operational continuity.
  • No further procedural or legal steps were announced in Kyndryl’s statement.

The announcement follows a wave of increased scrutiny by European regulators and national authorities over foreign acquisitions of companies that provide services to public‑sector clients, particularly where data, security and digital sovereignty are involved. Kyndryl’s statement did not detail the government’s reasoning for the ban beyond confirming that the takeover is prohibited under law.
