Den Haag — The Dutch Minister of Economic Affairs and Climate has upheld a prohibition on the proposed acquisition of Dutch IT services firm Solvinity by global infrastructure services company Kyndryl, the buyer said in a statement dated 13 October 2026.

Kyndryl accepts decision after second review

Kyndryl said it had defended the proposed transaction throughout the past year, engaging with government officials and customers to explain the added expertise in innovation, security and modernization it believed it could bring to Solvinity’s public-sector clients. After a second and thorough review by the minister, however, the company says the takeover is now legally blocked and “cannot be completed.”

In its statement Kyndryl expressed disappointment at the outcome but said it accepts the minister’s decision. The company added that it will continue to support customers across the Netherlands in running their business-critical systems at scale.

Calls for stability at Solvinity

Kyndryl urged Solvinity and its shareholders to accept the government’s conclusion — which it said follows the Dutch authorities’ full review process — and to focus on maintaining stability and continuity for Solvinity’s customers, employees and operations.

What this means

  • The minister’s decision means the transaction is legally prohibited in the Netherlands and cannot proceed.
  • Kyndryl will step back from pursuing the acquisition and emphasises continued support for Dutch customers.
  • The statement does not set out the minister’s detailed reasoning; such decisions are typically taken on public-interest and regulatory grounds.
